1. About the Site

The Site provides general information about our technology services and a way to contact us. Using the Site or contacting us does not create a client relationship. Professional services are provided only under a separate written agreement, proposal or statement of work, which prevails over these Terms for those services.

2. Eligibility

The Site is intended for businesses and professionals. You must be at least 18 years old and, if you use the Site on behalf of an organization, you must have authority to accept these Terms on its behalf.

3. Nature of our services

Synthetica Labs is a technology services company. We are not a bank, money transmitter, payment processor or financial adviser, and we do not hold, process or transfer funds on behalf of clients or third parties. When we build integrations with payment providers or financial platforms, we implement them in our clients’ own accounts, under the client’s agreements with those providers.

4. Sanctions and export compliance

We comply with U.S. economic sanctions and export control laws, including the regulations administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC). We do not provide services to persons or entities located in, ordinarily resident in or organized under the laws of countries or regions subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea and the Crimea, so-called Donetsk People’s Republic and so-called Luhansk People’s Republic regions of Ukraine), nor to anyone on OFAC’s Specially Designated Nationals list or other U.S. government restricted-party lists. By using the Site or contracting our services, you represent that you are not such a person. We may decline or end any engagement to comply with these laws.

5. Acceptable use

You agree to use the Site only for lawful purposes. In particular, you agree not to:

• use the Site for unlawful, fraudulent or harmful purposes;
• attempt to gain unauthorized access to the Site, its servers or related systems, or interfere with their operation or security (good-faith security reports are welcome as described on our Trust & Security page);
• send spam, malware or misleading information through the contact form;
• scrape, copy or harvest content or data from the Site by automated means without our written permission, including to train artificial intelligence models;
• impersonate Synthetica Labs or any other person, or misrepresent your affiliation with us.

6. Intellectual property

The Site and its content, including text, graphics, logos, the Synthetica Labs name and brand mark, and its code, belong to Synthetica Labs or its licensors and are protected by intellectual property laws. You may view and print pages for your personal or internal business use. Any other use requires our prior written permission. Third-party names, logos and trademarks (for example, cloud and AI providers) belong to their respective owners and are used only to identify technologies we work with; their use does not imply any partnership, sponsorship or endorsement.

7. Information you send us

When you contact us, you confirm that the information you provide is accurate and that you are entitled to share it. Please do not send confidential information through the contact form before a confidentiality agreement or contract is in place. We may use unsolicited ideas or feedback without any obligation to you. Our Privacy Policy explains how we handle personal information.

8. Third-party links and services

The Site may contain links to or integrations with third-party websites and services. We do not control them and are not responsible for their content, policies or availability.

9. No professional advice

Content on the Site is for general information only. It is not technical, legal, financial or other professional advice for your specific situation, and the capabilities, examples or timelines described are not commitments. Prices, scope and deliverables are defined only in a signed proposal or agreement.

10. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by law, Synthetica Labs and its members, managers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Site. Our total liability for any claim related to the Site will not exceed one hundred U.S. dollars (USD 100). These limits do not apply where the law does not allow them, nor to services provided under a separate agreement, which has its own terms.

12. Indemnification

You agree to indemnify and hold harmless Synthetica Labs from any claims, damages and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Site.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us at hello@synthetica-labs.com and try to resolve the dispute informally for at least 30 days. If it is not resolved, the state and federal courts located in the State of Delaware will have exclusive jurisdiction, and both parties consent to their personal jurisdiction. Either party may seek urgent injunctive relief to protect its intellectual property or confidential information. If you are a consumer, nothing in these Terms deprives you of the protection of mandatory laws of your country of residence.

14. Changes and suspension

We may modify the Site or these Terms at any time. Updated Terms take effect when they are posted on this page with a new effective date. We may suspend or restrict access to the Site for anyone who breaches these Terms.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and us regarding the Site. These Terms are written in English; any translation is provided for convenience, and the English version prevails in case of conflict.
